By submitting an application to become a JUV Ambassador (“Ambassador”), you explicitly agree to adhere to the terms and conditions outlined in this document, henceforth referred to as the "Program."

Registration Process

Ambassadors must submit a complete application to the Program. Approved applicants receive access to our Ambassador portal with unique links and codes. We reserve the right to reject applications. You must provide truthful information and consent to occasional program-related emails.

Promotion & Marketing

Ambassador must promote JUV products ethically and in good faith.  Promotion can be conducted through social media, video marketing, blogging, email marketing. You are permitted to use link cloaking, link tracking, or other forms of redirection, subject to the rules of the platform used for promotion.  

Ambassadors are explicitly prohibited from using paid advertising or paid promotions, including but not limited to paid search campaigns and social media ads, to promote JUV products.

Commission Structure

The Ambassador program provides a commission rate as defined within the Ambassador dashboard on referred sales, excluding the value of shipping, handling, or taxes. 

Commissions are only awarded for purchases made through the unique referral URL provided within your Ambassador dashboard.  Cookies are used to track user purchase activity, with a 30-day duration to track referrals. Ambassador must understand that customers clearing cookies or using different browsers or devices may disrupt tracking, affecting commission attribution.  It is against these terms to attempt to circumvent or alter any of the technical methods employed by our Ambassador program.

In cases where a customer requests and is granted a refund, JUV reserves the right to deduct the related commissions from commission payments.

Commissions are paid quarterly, approximately 30 days following the end of the quarter. Ambassador must meet a minimum commission threshold of $100 in a given period to receive payment.  

Commissions are paid via third-party platforms offering various payment options including virtual credit cards and gift cards.  Alternative payment options including but, not limited to, Paypal and ACH may be used at JUV’s discretion. 

Conduct Guidelines

Ambassador must adhere to ethical promotion and sales practices including promoting JUV products in good faith.  Ambassadors must refrain from engaging in paid advertising, search campaigns, or any form of paid promotions, commercial reselling, self-purchasing with an Ambassador account, linking to unapproved third-party websites, promoting on any platform that does not reflect the brand's values and integrity, engaging in fraudulent activity, arificially boosting Ambassador sales, registering or using domain names that incorporate the brand name, slogan, catch phrases, terms or any derivatives thereof, or promoting violence, discrimination, illegal activities or any offensive material. This list is representative and not comprehensive, and Ambassadors are expected to uphold the highest standards of integrity in all their promotional activities.

Ambassador must also avoid misrepresentation, including but, not limited to, false impressions, unsubstantiated claims, non-disclosure of compensation for promotion, inaccurate portrayal of the product or brand. 

Compliance

Ambassador warrants and agrees to comply with all applicable rules and regulations of the Federal Trade Commission (FTC) and any other relevant laws, guidelines or regulations applicable to the conduct of the Ambassadors sales and promotional activities.  This includes but, is not limited to, clearly and conspicuously disclosing the nature of the Ambassador relationship with JUV in all promotional content. 

Ambassador warrants and agreess to comply with the terms and conditions of any platforms or channels they use for marketing purposes. 

Ambassador warrants and agrees to comply with all applicable data protection laws, including but not limited to GDPR (General Data Protection Regulation), when handling any customer personal data. In the event of a data breach, Ambassador are obligated to promptly report such incidents to JUV. JUV reserves the right to conduct audits to ensure compliance with data protection practices. Unauthorized use or sharing of customer data is strictly prohibited.

Ambassador warrants and agrees to ensure that all promotional activities are compliant with local, state, and federal laws applicable to their sales and promotional activities. This includes, but is not limited to, consumer protection laws, anti-spam laws, and intellectual property laws. 

JUV reserves the right to terminate the agreement if the Ambassador is in breach of any of these compliance provisions or compliance laws, regulations or guidelines. 

Canceling Accounts

In the event of a breach of the terms of this agreement, we may take action, including but not limited to the denial of your registration, cancellation of your Ambassador account, and voiding any unpaid commissions.  We also reserve the right to suspend, cancel or delete an Ambassador account at any time.

Accounts with no referrals made within a 60-day span and no outstanding commission may be labeled as dormant, and we hold the right to suspend or delete such accounts.

Intellectual Property

Ambassador has a limited, revocable right to use JUV's trademarks and copyrights for promoting products in approved ways. They can display JUV trademarks on their websites, social media, and use provided promotional materials. This agreement does not transfer any intellectual property ownership or other related rights.  For any uses outside of these specific examples, Ambassador must seek approval from JUV.

Confidentiality

Both JUV and the Ambassador commit to keeping each other's business information, strategies, and customer data confidential. They agree not to disclose this information to third parties without consent and will take steps to prevent unauthorized sharing. This obligation survives the termination of this agreement. 

Indemnification

Ambassador shall indemnify and hold JUV, its employees, officers, shareholders, directors and agents harmless from and against any claims, damages, losses, liabilities, and expenses caused by their actions or content, including third-party claims due to false advertising, copyright/trademark infringement, violations of laws, regulations, applicable guidelines or breach of this agreement. This indemnification survives agreement termination and does not limit JUV's other rights.

Limitation of Liability 

JUV shall not be liable for any indirect, incidental, punitive or consequential damages, arising out of or in connection with this agreement.  In no event shall you be entitled to recover damages from JUV that exceed the sum of Ambassador payments paid to you during the 3 months immediately preceding the event giving rise to the claim for damages. 

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Texas.  If one or more of the provisions in this Agreement are deemed unenforceable by law, then such provision will be deemed stricken from this Agreement and the remaining provisions will continue in full force and effect.

Disputes & Resolution Process

In case of a dispute, the Ambassador should first inform JUV in writing, detailing the issue. JUV will review and may resolve it internally. If unresolved, both parties will engage in good faith negotiations. If an agreement cannot be reached, both parties may agree to mediation with a neutral mediator, ensuring equal participation and fostering cooperation and fairness.

Changes to Terms & Conditions

We reserve the right to change the terms and conditions of our Ambassador program at any time. Ambassadors will be notified of any changes to these terms and conditions if their lifetime earnings exceed $0.  Ambassador may cease their Ambassador relationship if they disagree with the new terms. Continuing to operate as an Ambassador under new terms after being notified of the new terms is considered an acceptance of the new terms.
